1. Provider, scope and agreement

Repostly is operated by:

These terms govern your Repostly account and use of our website, web application and API. Repostly is available to consumers and businesses. A consumer is a natural person acting mainly outside their trade, business or profession. You must have the legal capacity or necessary authorization to enter into the agreement; if acting for a business, you must be authorized to bind it. Company register and representative details are in our Imprint.

The terms presented when you register or order, the plan information and the order confirmation determine your agreement. A paid subscription requires a separate order; merely visiting the website does not create a payment obligation. Individual agreements and mandatory statutory rights take precedence over these standard terms.

2. What Repostly provides

Repostly lets you connect supported social accounts, store and prepare your media, schedule and publish content, create supported reposting workflows, and view available social-account performance information. API access is available within the applicable plan and permissions. Supported platforms currently include Instagram, Facebook, Threads, TikTok and YouTube; capabilities differ by platform, content type, account eligibility, permissions and plan. Only the options offered for your connection are available.

You need internet access, a compatible current browser or API client and authorized accounts on the platforms you connect. API documentation and in-product requirements describe supported formats, limits and permissions. Social platforms control acceptance, processing and visibility of posts. A scheduled time is the requested publishing time; it is not a guarantee that platform processing finishes at that instant. Analytics reflect the data made available by the platforms and may be delayed or corrected. We do not promise particular reach, engagement or business results.

These dependencies do not exclude our responsibility for providing the agreed service or your statutory remedies if the service is defective. We provide updates, including security updates, as required by applicable digital-service law during the relevant supply period.

3. Accounts, permissions and security

Provide accurate account and billing information, keep it current, and protect passwords and API keys. Connect only accounts you are authorized to manage. Tell us promptly about suspected unauthorized access. Your responsibility for unauthorized use is determined by applicable law; these terms do not make you automatically liable for every action on a compromised account.

You can revoke an API key or disconnect a social account. Disconnecting affects future access and publishing, but does not remove content already accepted or published by a platform. Check publication status before submitting again after a timeout or uncertain result, as another submission can cause a duplicate post.

4. Plans, trials and payment

The selected plan, price, currency, taxes, billing interval and any trial are shown before you place the order. Subscriptions are billed in advance for the applicable monthly or annual billing period. A displayed monthly equivalent for an annual plan does not mean that payment is collected monthly. Review the total payable and renewal terms in checkout.

Eligible new accounts can receive the seven-day free trial offered in checkout. A payment method is required. Unless you cancel before the trial ends, charging starts at the disclosed price and interval. The trial is available once per eligible account. A free trial is separate from statutory withdrawal rights and our initial-payment refund policy.

Purchases use Stripe Managed Payments, presented as Sold through Link. Stripe’s merchant-of-record service handles the transaction, applicable indirect taxes and transaction support. The relevant Stripe/Link entities and purchase terms are identified in checkout and the Sold through Link terms. Repostly remains responsible for delivering and supporting its product. Those purchase terms do not remove your rights against us concerning the Repostly service.

Access is based on verified subscription or other valid access status. Failed or overdue payments may limit paid features in accordance with the contract and applicable law. A billing dispute alone does not waive any statutory right or justify an automatic forfeiture of refunds.

5. Renewal, plan changes and cancellation

Unless cancelled, subscriptions continue and are billed at the interval disclosed when ordered, subject to mandatory limits on renewal. You can request cancellation at any time through Billing → Cancel plan, Manage subscriptions, the available Link order-management service, or by contacting us. Ordinary cancellation normally takes effect at the end of the current paid period; a trial cancellation takes effect at the end of the trial. The confirmation identifies the effective date.

For consumers to whom § 309 no. 9 BGB applies, automatic continuation after the initial agreed term is for an indefinite period and may be terminated with no more than one month’s notice. An annual billing interval does not remove that right. Earlier statutory cancellation, withdrawal and termination-for-cause rights remain available. Where payment covers a period after a legally effective earlier termination, the corresponding amount is reimbursed as required by law.

During a free trial, plan changes take effect immediately without a charge for the remaining trial. After the trial, upgrades normally take effect after the quoted additional payment succeeds; downgrades normally take effect at the end of the current billing period. Review the amount and effective date shown before confirming a change. No price increase or expansion of your payment obligation is authorized merely by posting revised terms on our website.

Our Cancellation and Withdrawal Policy explains cancellation, the consumer cooling-off right, our 14-day initial-payment refund offer and account closure. Mandatory remedies for defective services apply independently of that offer.

6. Your content and permitted use

You retain your rights in the content you provide. You authorize us to store, copy, prepare/convert, transmit and display it only as needed to provide the requested service, including delivery through our technical providers and your selected platforms. This permission does not authorize unrelated advertising or sale of your content. After deletion or account closure, any continued retention must have a lawful basis; see our Privacy Policy.

You must have the necessary copyright, music, image, privacy and other permissions for your uploads and each destination. Access to a social account or an API does not itself grant the right to copy or republish third-party content. Repostly does not authorize scraping, bypassing download restrictions, circumventing platform safeguards or using unsupported source downloads. Use your original files when a platform does not permit a supported source transfer.

Do not use Repostly for unlawful content, infringement, fraud, harassment, malware, spam, unauthorized access or attempts to bypass account, subscription or security restrictions. Follow the connected platforms’ rules, including required commercial-content disclosures and audience choices. Report suspected illegal content or rights infringements to our contact address, identifying the content and the basis for your report.

7. Third-party platform terms

Connected platforms operate independently of Repostly. Their applicable terms and privacy notices also apply to your use of their services:

8. Privacy and business-customer data

Our Privacy Policy explains account, publishing, billing, hosting and diagnostic processing. Browser PostHog analytics, session recording and newsletters require separate consent; accepting these terms does not provide that consent. Server-side product analytics use a separate account-level objection, as explained in the notice. Browser/server error reporting and operational monitoring are described separately in that notice.

Business customers remain responsible for their authority and lawful basis to process personal data in their content or on behalf of clients. Where Repostly acts as a processor, an Article 28 GDPR data-processing agreement is required in addition to these terms. Contact us to arrange the relevant agreement before using the service for such processing.

9. Availability, changes and ending the service

Maintenance, security incidents and platform outages may interrupt the service. We take reasonable steps to address interruptions and communicate material problems. Changes beyond those needed to maintain conformity require a valid contractual and legal basis. Where consumer digital-service law applies, changes must meet its requirements, including advance information on a durable medium and any right to terminate without charge if a change adversely affects use or access more than minimally.

We may restrict access where reasonably necessary to address a security risk, unlawful use or a material breach. Unless immediate action is necessary or notice is legally prohibited, we explain the reason and give you a reasonable opportunity to resolve the issue. Termination follows the agreement and applicable law, including any required warning or cure period. We do not reserve an unrestricted right to end a paid service without notice or without accounting for unused prepaid access.

Cancelling a subscription and requesting account erasure are separate actions. Keep your originals and request any needed data before closure. We will handle access to, return and deletion of data in accordance with applicable law and our Privacy Policy. Published social posts remain subject to the destination platform’s controls.

10. Statutory remedies and liability

Your statutory rights for a service that is not supplied or does not conform to the contract remain intact. Depending on the circumstances, these may include performance or correction, a price reduction, termination, reimbursement and damages. No general “as is” disclaimer, fixed fee cap or exclusion of liability in these terms limits those rights.

Liability is governed by applicable law. In particular, these terms do not exclude or limit liability for intent, gross negligence, injury to life, body or health, fraudulent concealment, an express guarantee, mandatory product liability or other non-excludable liability. We do not impose a general obligation on consumers to indemnify us for all claims relating to their use of the service.

11. Governing law, complaints and dispute resolution

German law applies to the agreement with Repostly. If you are a consumer, this does not deprive you of mandatory protections of the law that would otherwise apply, including those of your country of habitual residence. Court jurisdiction is determined by applicable law; consumers are not required by these terms to bring claims exclusively in Hamburg or Germany.

Contact us with complaints using the details in section 1. We are neither willing nor obliged to participate in proceedings before a consumer arbitration board. This does not restrict access to courts or other mandatory complaint mechanisms.

12. Changes to these terms

Material proposed contractual changes will be communicated in advance. Where agreement is required, we will obtain it; silence or continued use alone does not constitute blanket acceptance of any change. Existing agreements are not retrospectively replaced merely by updating this page. If a clause is ineffective, applicable statutory rules take its place and the remainder continues to apply where legally possible.
